Twinbooks is a product of Whatswhat Consulting SRL that provides a data migration service that transfers financial data from Winbooks, Sage BOB 50 and Horus to Odoo. Our service includes, but is not limited to, the migration of customers, suppliers, books, accounts, moves, VAT information, analytical moves, and assets. Additional data types may be included upon request and subject to our agreement.

3. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Whatswhat Consulting SRL and its licensors. The Service is protected by copyright, trademark, and other laws of both Belgium and foreign countries.

You are granted a limited, non-exclusive, non-transferable, revocable license to use our Service solely for the purpose of migrating your data from Winbooks to Odoo. This license is specific to you and may not be sublicensed or assigned to any third party.

4. Data Processing and Privacy

During the migration process, we access and process data from your source system (Winbooks, Sage BOB 50 or Horus) to transfer it to Odoo. We are committed to:

• Processing data solely for the purpose of migration
• Maintaining confidentiality of your business information
• Implementing appropriate security measures to prevent unauthorized access
• Deleting migration data upon completion of the service as agreed

In case of incomplete or interrupted migrations, we will:

• Immediately notify you of the interruption
• Secure any partially migrated data
• Provide options for completing the migration
• Delete any incomplete migration data if the process cannot be completed

5. User Responsibilities

You are responsible for:

• Providing accurate information necessary for the migration
• Ensuring you have proper backup of your Winbooks data before migration
• Verifying the migrated data for completeness and accuracy
• Complying with applicable accounting and tax regulations

Data Loss Disclaimer: You acknowledge and agree that Whatswhat Consulting SRL shall not be responsible or liable for any loss or damage to data resulting from your failure to back up data properly before the migration process begins. It is your sole responsibility to ensure that all data is properly backed up prior to initiating the migration service.

6. Payment Terms

Payment terms are specified in your service agreement. Unless otherwise agreed:

• Full payment is required upfront before starting the migration
• All prices are exclusive of VAT unless otherwise stated
• Invoices are payable within 30 days of issue

Refund Policy: Payments made are non-refundable once the migration process has been initiated. In case of partial completion due to technical limitations discovered during the migration process, we will work with you to find an appropriate solution, which may include partial completion, alternative approaches, or, at our sole discretion, a partial refund.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Whatswhat Consulting SRL be liable for any indirect, punitive, incidental, special, consequential damages, or any damages whatsoever including, without limitation, damages for loss of use, data, or profits, arising out of or in any way connected with the use or performance of the Service.

Maximum Liability: Our total liability under any circumstances shall not exceed the amount you paid for the Service. This limitation applies to all claims, regardless of the legal theory under which they are brought.

8. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

You may request termination of the Service at any time by contacting us at hello@twinbooks.be. However, please note that no refunds will be provided for services already initiated, and you will remain responsible for any outstanding payments.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

10. Disputes Resolution

Parties agree to attempt to resolve disputes amicably before resorting to legal proceedings. If an amicable resolution cannot be reached within 30 days, any disputes arising out of or relating to the Service will be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any significant changes via email or through a prominent notice on our website. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

12. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain fully enforceable. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest to the intention underlying the invalid provision.
